KLC is advising international and local financial institutions, institutional investors, private equity and venture capital funds, in a wide spectrum of finance transactions ranging from project finance (financing & refinancing), corporate and acquisition finance, convertible debt, start-up financing, in the form of term loans, bonds loans (both syndicated and bilateral) and ancillary collateral arrangements as well as structuring of financial instruments. KLC also acts for banks and financial institutions in respect to regulatory and compliance matters (extending also on matters of digital banking), consumer credit and innovative investment and financial products.

 

Experience

The KLC Banking & Finance Practice is very well known for its business- oriented approach, responsiveness and ability to produce tailor-made solutions. The team works closely with other practices of the firm, such as energy, real estate, M&A, dispute resolution, leisure & hospitality, which enables it to offer seamless and high-quality services to its clients as a one stop shop law firm.

KLC has also extensive expertise in the legal implementation of EU financial instruments in Greece, including the EU Recovery and Resilience Mechanism (RRF), having advised in this regard EU and Greek State authorities, credit institutions acting as financial intermediaries and final recipients.

The team has also experience in capital market matters, covering both regulatory (corporate governance, market abuse and disclosure requirements, cross-border marketing and provision of investment services) and transactional (mandatory take-over offers, public offerings) aspects.

  • Advising a syndicate of Greek Banks in relation to the refinancing and financing in the aggregate amount of €147m of the expansion and renovation works of (5) operating hotels in the islands of Crete and Santorini which are owned by three affiliated SPVs of a local group of companies active in the hospitality sector. The financing structure involves the grant of three (3) separate loans to each SPV (including a separate common revolving series) and an additional RRF loan to one of the SPVs;
  • Advising a Greek systemic bank in relation to the first large scale financing of seven (7) clusters of energy communities of a total capacity of 300 MW located in several areas in Greece in the tune of € 120m;
  • Advising an international investor in respect to the negotiation and drafting of a series of long-term bond loan agreements and bridge facility agreements for the development of its PV portfolio developed around Greece of a total capacity of €148,31 MW;
  • Advising a Greek systemic bank on the setting up of a subsidiary digital bank covering all legal aspects relating to (a) licensing, (b) banking products and (c) operations;
  • Advising a French fund, active in the renewable energy sector, in respect to the financing in the form of a convertible debt of a Greek holding company that develops, through its subsidiaries, a portfolio of RES projects of a total capacity of 120 MW in various stages of development.
