Experience
On the M&A front, our team has traditionally been involved in all types of M&A work across several industries with a strong track record in cross-border transactions. We are selected by clients to handle complicated issues, where a combination of solid legal background and the ability to produce practical commercial solutions is required. By forming teams with well-selected members suitable to the needs of each case, we are able to successfully complete complex, large-scale transactions in a time-efficient manner. Our work covers the entire spectrum of M&A work, whether at the buyer’s or at the seller’s side, from the start of each transaction all the way to its completion. In this respect, the members of our team are involved from the early stages by playing an active role in the negotiations of the basic commercial and legal terms of each transaction and by identifying the optimum deal structure from a legal and tax point of view all the way to the performance of the legal due diligence, the drafting and negotiating of the transaction documents, the monitoring of CPs and closing.
- Advising one of the biggest Greek companies in the hospitality sector in all its activities, including its corporate day-to-day matters, all types of commercial agreements relating to its operations (construction agreements, hotel management agreements, hotel lease agreements, time-sharing arrangements) and acquisitions and development of luxury hotels in the most prominent areas in Greece.
- Providing legal advice to a foreign investor on a series of acquisitions in the renewables sector, including the acquisition and refinancing of a portfolio of operating wind and solar projects of a total capacity of ca. 67 MW and on its investment in and development, construction, and financing of a portfolio of photovoltaic parks with total output of ca. 275 MW.
- Advising one of the leaders in the Greek oil industry in various M&A projects, including the acquisition of a controlling stake in a JV that is implementing a large portfolio of renewables development assets sold in Greece.
- Advising one of the leading private investment funds in relation to its Greek investments with our services ranging from all types of commercial agreements in the hospitality sector to real estate exploitation and disposition of assets in the form of share deals.
- Acting for a major pharmaceutical company and its majority shareholder in a complex deal of internal restructuring and the sale of its pharma commercial business in a lead pharmaceutical Group in Greece.
